Donation Agreement Party A: Party B: CHINA LITERATURE AND ART FOUNDATION WHEREAS, Party A is willing to donate money to Party B in accordance with laws and regulations including, without limitation, Public Welfare Donation Laws of the People’s Republic of China and Regulations on Foundation Administration, both parties hereto enter into the following agreements upon friendly negotiation: Article 1 Party A is willing to donate (Currency) (Amount) to Party B. Article 2 Purpose of Party A’s Donation: fund arts and cultural activities. Article 3 Party A shall remit the amount of donation as set forth in Article 1 in a lump sum to the Bank Account designated by Party B within THREE days after the effective date hereof. General Banking, Beijing, China Account Name: CHINA LITERATURE AND ART FOUNDATION Account Number: 7111111382600000130 Receiver’s Address: NO.22, An Yuan Bei Li, Chaoyang District, Beijing SWIFT Code: CIBKCNBJ100 Article 4 Party B shall, upon receiving the donation from Party A, issue a legitimate and valid financial receipt as well as a corresponding Donation Certificate to Party A. Article 5 Party A shall have the right to inquire, and Party B shall reply in good faith, the use and management of such donation. Further, Party A shall also be entitled to give opinions and suggestions accordingly. Article 6 Upon the Parties’ mutual confirmation on a Project to be funded through negotiation pursuant to the purpose of Party A’s donation, Party B shall sign a Project Funding Agreement with the Organizer of such Project. Article 7 After negotiation, Party A and Party B agree that 10% of the donation shall be used as work and project management expenses of Party B. Article 8 Returns to Party A for Public Welfare Donation: Since Party B is a Public Welfare Institution with pre-tax deduction qualification in public welfare donations approved by the Ministry of Finance, the State Taxation Administration and the Ministry of Civil Affairs (C. S. [2017] No. 23), Party A shall be entitled to enjoy tax exemption pursuant to the state policies. Article 9 This Agreement shall come into force upon signature, and shall be made in triplicate, two of which to be held by Party A and the rest one to be held by Party B. All the copies have the same legal validity.
